Release of Debts:

The Release of Debts provision provides that none of the partners will release or discharge any debt that is owed or will be owed to the partnership unless the full amount of the debt is paid or the other partners give their written consent to the debt's discharge.

Trade Secrets:

The optional Trade Secrets provision provides that during the course of the partnership, and for a select number of years afterward (you select how many years it will be effective) that no partner will share any trade secret or special information relating to your business to anyone outside of the partnership, without the written consent of the other partners.

Employee Management:

The Employee Management provision provides that a partner must have the consent of the other partners before hiring or terminating any employees, unless the employee being terminated engaged in "gross misconduct."

Dedication of Partners:

The Dedication of Partners provision is quite straightforward and provides that each partner shall give their undivided time and attention to the business and will always endeavor to promote the interest of the partnership.

Business Expenses:

The Business Expenses provision provides that all expenses for the building where the business takes place, including rent, repairs and modifications, taxes, insurance, and any other expenses related to the building or buildings used by the business will be paid from the partnership's account.

Attorney's Fees:

The Attorney Fees provision provides that if any action is filed in relation to this partnership agreement, then the unsuccessful party in the action will pay, to the successful party, a reasonable sum for the successful party's attorney fees. The payment of the attorney fees is in addition to whatever money the court may have required the unsuccessful party to pay.

Arbitration:

The Arbitration clause provides that when differences occur among the partners regarding their rights or liabilities under this or any other document made in relation to partnership business, that the difference shall be settled and decided by an Arbitrator. You will select the arbitrator, and his or her name will be inserted into the partnership agreement in the appropriate place.

Appraiser:

An appraiser is a neutral party that is chosen to estimate the value of something; in other words an impartial person that has been selected to approximate how much something is worth.

The partnership agreement provides that if one partner dies or otherwise withdraws from the partnership, that the partnership does not automatically have to end. Rather, it is set up so that if the other partners choose to continue with the partnership (they do not have to) that two appraisers will be appointed-- one by the partners who are maintaining the partnership and one chosen by the withdrawing partner or his or her legal representative. The two appraisers will determine the value of the partnership's assets, and then the partners choosing to continue the business will pay a specified percentage of that value to the withdrawing partner for his or her share. The percentage that you pay to the withdrawing partner will be selected by you and inserted into the partnership agreement.

General Accounting:

Each year a general accounting of the business will be made which will cover all sales, purchases, receipts, payments, and transactions of the partnership during the preceding fiscal year, as well all the capital property and current liabilities of the partnership. Basically it is a economic review of the partnership's affairs for the previous fiscal year.

Fiscal Year:

A fiscal year is a period of accounting that lasts for twelve consecutive months, but it does not have to be the same as a calendar year. It can begin on any date of the year, as long as it runs for the next twelve months. Therefore you could have a fiscal year that begins on May 1, and ends on April 30.

Type Of Business:

The distribution of profits from the partnership is when the partnership makes payments of cash or property to each partner from any earnings of the partnership that year. The profits of a business can be measured by subtracting its expenses from its revenue; if there is more cash flow coming into the business than money going out to pay for things then you have a profit or gain. If however, if there is more money being paid out of the business than money coming into the business, then you have a loss because your expenses were more than your revenues and gains.

Simply put, profits are earnings or income, and losses occur when you expend more than you receive.

Capital is the total and complete assets that a business has available. Capital is pretty much the same thing as "net worth," which means that it is a measure of all of the wealth that the business owns. The capital of a business is its material resources.
